CUSTOMER PRODUCT REVIEWS TERMS OF USE

These Customer Product Reviews Terms of Use (the "Terms") govern your submission of ratings, reviews, photographs, videos, comments, feedback, or other content relating to Cole Haan products through the product review service offered by Cole Haan (the "Review Service").

By submitting a product review or other content through the Review Service, you agree to these Terms. If you do not agree, do not submit a product review.

Eligibility and responsibility for your review

By submitting content to Cole Haan, you represent and warrant that:

·        you are at least 18 years old or the age of majority in your jurisdiction, whichever is greater;

·        the review reflects your honest opinion, actual experience, and genuine use of, or experience with, the Cole Haan product reviewed;

·        you are the sole author and owner of the content, or you have all rights necessary to submit it and grant the license below;

·        the content is accurate and not false, misleading, deceptive, fabricated, or generated in a way that misrepresents a real consumer experience;

·        your submission does not violate these Terms and will not injure any person or entity; and

Content you may not submit

You agree that you will not submit any content:

·        that you know, or should know, is false, inaccurate, misleading, deceptive, fabricated, or not based on your own product experience;

·        that includes undisclosed incentives, compensation, free products, discounts, employment, agency, affiliate, influencer, vendor, ownership, or other material connections;

·        that infringes or violates any third party's copyright, trademark, patent, trade secret, publicity, privacy, or other proprietary or personal rights;

·        that is defamatory, libelous, obscene, vulgar, hateful, discriminatory, racially or religiously biased or offensive, unlawfully threatening, unlawfully harassing, abusive, or otherwise inappropriate;

·        that references or links to other websites, advertisements, promotions, spam, commercial solicitations, or unrelated products or services;

·        that impersonates another person, misstates your identity or affiliation, or manipulates ratings, reviews, or review systems;

·        that contains viruses, worms, malware, bots, scraping tools, or other potentially harmful code, programs, or files; or

·        that is unrelated to the Cole Haan product being reviewed, including customer service, shipping, returns, pricing, availability, or store-specific issues, unless Cole Haan specifically requests that information in the review form.

Use of your content

For any content that you submit, you grant Cole Haan and its affiliates a perpetual, irrevocable, royalty-free, worldwide, sublicensable, and transferable right and license to use, copy, modify, edit, adapt, publish, translate, create derivative works from, display, perform, distribute, syndicate, and otherwise exploit the content, in whole or in part, in any form, medium, or technology now known or later developed, including on Cole Haan websites, mobile applications, emails, digital advertising, social media, retail materials, and other marketing or promotional channels, without compensation to you, except where prohibited by law.

You also grant Cole Haan the right to use your name, username, initials, city/state, profile information, star rating, review title, review text, photographs, videos, and other submitted content in connection with the Review Service and related marketing, subject to Cole Haan's privacy practices.

Moderation and publication

Cole Haan may, in its discretion and to the extent permitted by law, review, moderate, reject, withhold, edit, condense, remove, or refuse to post content that Cole Haan determines violates these Terms, applicable content guidelines, or applicable law. Cole Haan does not undertake to publish every submission and does not guarantee that you will be able to edit or delete content after submission.

Cole Haan will not suppress, remove, or refuse to publish a product review solely because the review is negative or has a low rating. Reviews may be rejected, removed, or edited for reasons such as profanity, irrelevance, privacy concerns, intellectual property concerns, fraud, undisclosed material connections, manipulation, or other violations of these Terms.

Indemnity

You agree to indemnify and hold harmless Cole Haan, its affiliates, subsidiaries, officers, directors, agents, employees, partners, service providers, and vendors, including Yotpo, Inc, from and against all claims, demands, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your breach of these Terms, your representations and warranties, your content, your violation of any law, or your violation of any third party rights.

Changes to these Terms

Cole Haan may update these Terms from time to time. The version posted on the Cole Haan website at the time of submission will apply to your submission.

Privacy

Information submitted through the Review Service will be handled in accordance with Cole Haan's Privacy Policy. Do not submit personal information that you do not want displayed publicly or used in connection with the Review Service.
